How to start an LLC in Indiana

An LLC business structure offers various benefits, but it’s important to keep your LLC in compliance with state requirements in order to maintain those benefits. Here are some of the key steps to take when forming an LLC in Indiana.

Step 1: Decide on a name for your Indiana LLC

There are state compliance requirements to consider when deciding on the name for an LLC. Here are some of the key requirements for Indiana LLC names.

  • Required words. Indiana requires the name of an LLC contain one of the following:
    • Limited liability company
    • L.L.C.
    • LLC
    • Unique. The LLC name must be distinguishable from the name of other registered entities on record with the Secretary of State’s office.
    • Indiana law restricts LLC names from including misleading type designators. For instance, your LLC name cannot feature terms like "Corp." or "Inc.," as these are reserved exclusively for corporations.

Step 2: Determine management structure (member vs. manager)

One of the reasons you may have selected an LLC as your business type is for flexibility in how it can be managed. LLCs offer two management structures: member-managed or manager-managed. (“Member” is the term used for the owner of an LLC.) The difference between the two options comes down to the relationship between management and ownership.

  • If an LLC is member-managed, then all members (owners) are active in the decision-making processes.
  • If an LLC is manager-managed, then one or more managers are designated to make the day-to-day decisions on its behalf. A manager may be a member or a non-member.

Step 3: Select your Indiana registered agent

Indiana LLCs must appoint and continuously maintain a registered agent and registered office in Indiana. A registered agent is an individual, or a domestic or foreign business, who is responsible for receiving important legal and tax documents (including service of process) on behalf of the LLC.

The agent must have a physical address in Indiana. P.O. boxes are not allowed. The registered agent’s address is called the registered office. The address of the registered office and name of the registered agent will need to be included in the Articles of Organization.

Step 4: Prepare and file Articles of Organization with the state

Creating an Indiana LLC requires preparing and filing an original copy of the Articles of Organization with the Indiana Secretary of State’s office.

In addition, you should have an operating agreement that establishes the rules and structure for the LLC. While Indiana does not require you to submit an operating agreement to form your LLC, every LLC should have this document.

Step 5: Obtain a federal employer identification number

A federal employer identification number is a business identification number issued by the IRS. This number is also called an EIN and federal tax ID.

An EIN is used when filing taxes, and is often used for other important business activities, such as opening a business bank account, obtaining a loan, or paying invoices.

Step 6: Meet your license, permit, and registration requirements in Indiana

Your Indiana LLC may be required to obtain licenses and permits before it can legally operate in Indiana. There are many factors that go into determining which licenses, permits, and registrations are required for your business. Sample requirements include the following:

  • State business tax registration. An Indiana LLC may need to register with the Indiana Department of Revenue and complete a business tax application. An LLC may have to register for additional tax types (ex. sales tax, withholding tax) that apply to the business.
  • Professional licenses. Several professions and industries require registration with and obtaining a license from a state agency.
  • Employer registrations. In addition to having an EIN, employers will need to register for an Indiana State Unemployment Tax Account, report the hiring of new or re-hired employees to the Indiana New Hire Reporting Center, and obtain unemployment and Workers’ Compensation insurance.
  • Business licenses and permits. Your Indiana LLC may need to obtain a local business license, as well as fulfill other license and permit requirements.
  • Assumed name/DBA. If an Indiana LLC plans to transact business under an assumed name or a “doing business as” name, it must make an Assumed Name Filing with the Indiana Secretary of State.

Member/Manager requirements

A “member” is the term used for an owner of an LLC. An LLC “manager” is an individual or entity appointed by the members (owners) to run day-to-day operations for the business. You can indicate in your LLC operating agreement whether your company will be managed by its members or by managers.

The following are Indiana’s requirements for the members/managers of LLCs:

  • Minimum number. LLCs must have at least one member.
  • Residence requirements. Indiana does not have a provision specifying where members/managers must reside.
  • Age requirements. Indiana does not have age requirements.
  • Inclusion in the Articles of Organization. Member/Manager names and addresses are not required to be listed in the Articles of Organization.

What are requirements for Articles of Organization in Indiana?

The document required to form an LLC in Indiana is called the Articles of Organization. The information required in a formation document varies by state. Indiana's requirements include:
  • LLC name. The name must include “limited liability company”, “L.L.C.”, or “LLC”.
  • Principal address. Principal executive office of the LLC as designated in the biennial report. May be in or outside of Indiana.
  • Registered agent and office. Name and address of a registered agent with a physical address (no post office boxes) in Indiana. The registered agent must be available during normal business hours to accept important legal and tax documents for the business.
  • Dissolution. Indicate whether the LLC will continue to exist until it is dissolved (perpetual) or provide a specific date for when the LLC is to be dissolved.
  • Management. Indicate whether the LLC will be managed by managers. There is the option to indicate that the LLC will be a single-member LLC (LLC with one owner).

Does Indiana allow professional limited liability companies (PLLCs)?

Indiana allows professionals such as accountants, attorneys, and physicians to form an LLC. Indiana statutes do not provide for professional limited liability companies (PLLCs).

How do you register a “foreign LLC” in Indiana?

A foreign LLC is an LLC that was created in one state and has registered to do business in another state. For example, for an LLC formed in Illinois, that LLC would be considered a “domestic LLC” in Illinois. If that same LLC wishes to conduct business in Indiana, it would need to register with the Indiana Secretary of State in a process called foreign qualification. That LLC would then be considered a “foreign LLC” in Indiana.

To register as a foreign LLC in Indiana, an LLC needs to complete a Foreign Registration Statement and supply a certificate of existence issued by its domestic state within the last 60 days. A certificate of existence (also known as a certificate of good standing) is proof that a business entity exists and is authorized to transact business in its domestic state.

As with a domestic Indiana LLC, the foreign LLC must include a name on the registration statement that complies with state laws. The foreign LLC must also obtain an Indiana registered agent and comply with Indiana business licensing, registration, and other requirements.
