Legislative updates

House Bill 1084, effective August 1, 2023, confirms that certain filings made with the Secretary of State must be made on forms prescribed by the Secretary of State.


House Bill 1082, effective August 1, 2023, enacts the 2022 amendments to the UCC addressing transactions involving digital assets.


House Bill 1371, effective April 28, 2023, amends provisions of the law regarding authorized livestock farm corporations and authorized livestock farm LLCs, including requirements related to initial and annual reports.


Senate Bill 2210, effective August 1, 2021, amends provisions regarding the conversion of farming and ranching corporations and LLCs and the initial annual reports of various business entities.


Senate Bill 2138, effective March 31, 2021, provides that unless otherwise provided by the articles or bylaws, a meeting of the members of a nonprofit corporation may be held solely by means of remote communications.


Senate Bill 2326, effective August 1, 2019, among other things, amends provisions regarding the returning of annual reports by mail, the filing of an amended registration by an LLP, the registration of professional LLPs with minority owners, and provides that corporations and LLCs may not obtain a state license or permit until after their articles are filed.


House Bill 1045, effective August 1, 2019, adds a provision to the North Dakota statutes relating to blockchain and amends the corporation law relating to, among other things, definitions, number of shareholders, annual reports, share certificates, shareholder voting lists, voting trusts, corporate records, dissolution, and, effective July 1, 2020 adding provisions to the LLC law authorizing series limited liability companies.


Case summaries

Effect of Reinstatement
Great Plains Royalty Corp. v. Earl Schwartz Co., 2019 ND 124, decided May 16, 2019. The North Dakota Supreme Court held the trial court erred in holding that a corporation that been involuntarily dissolved for failing to file an annual report and pay fees, but that since had been reinstated, lost its ability to claim title to property it owned. Upon reinstatement it regained title to properties it owned before it was dissolved.
