New Mexico Certificate of Good Standing FAQs
  • What is a Certificate of Good Standing in New Mexico?

A Certificate of Good Standing certifies that a statutory entity, such as an LLC or corporation, exists and is authorized to do business in New Mexico and that follows certain state requirements. These generally include paying any necessary state fees and filing annual or biennial reports (if required).

In other states, this document may also be known as a “certificate of status” or “certificate of existence”. The New Mexico Secretary of State’s office is responsible for issuing Certificates of Good Standing.

Note: There is a separate document known as a “letter of good standing” issued by the New Mexico Taxation and Revenue Department, which indicates that an entity is in good standing with its taxes with the department.

  • Why is “good standing” important for your business?

Being in good standing allows a corporation, LLC, or other statutory entity in New Mexico to maintain the rights and privileges of doing business in the state. A business may need to provide a Certificate of Good Standing (or the equivalent) when expanding to other states or for financing, business transactions, and licensing. The consequences of losing good standing can include fines, the inability to file a lawsuit, the inability to do business in other states, and the administrative dissolution of a business.

  • Do you need a New Mexico (NM) Certificate of Good Standing for your LLC or corporation?

If you plan on expanding your business to another state, you may need to provide a good standing certificate as part of the foreign qualification process in that state. For example, a New Mexico LLC wishing to transact business in Arizona would need to provide a Certificate of Good Standing when registering as a foreign LLC in that state, as well as have an Arizona registered agent.

Lenders, investors, and vendors can require a good standing certificate before doing business with a company. A certificate may be required for licensure or for certain business transactions, such as a merger or acquisition.

A Certificate of Good Standing is not a state requirement when forming an LLC or corporation in New Mexico but may be necessary to obtain for one of the reasons listed above.
