What’s the difference between a corporation and an LLC?

An LLC has more flexibility and fewer ownership restrictions than either C and S corporations. That said, if you’re planning on distributing stock, an S corporation might be a better option. Also, corporations are exposed to franchise taxes in many states (including California) where LLCs are exempt.

Does an LLC need to hold formal meetings?

Unlike corporations, LLCs do not face strict ongoing meeting and documentation requirements. It’s why many LLC owners create an operating agreement that allows them to sidestep many corporate formalities, including annual shareholder and director meetings.
