Senate File 76, effective December 1, 2023, enacts the Wyoming Digital Asset Registration Act, whereby the lawful owner of a digital asset or the lawful owner’s agent may register the digital asset with the Secretary of State if the applicant is a resident of Wyoming or is incorporated or organized in Wyoming.
Senate File 75, effective July 1, 2023, amends the provisions governing decentralized autonomous organizations to require an amendment to the Articles of Organization to be filed when the publicly available identifier has changed. Publicly available identifier is defined as an address that is available publicly and that identifies a smart contract and may include a uniform resource locator, contract address or other similar reference.
Senate Bill 68, effective March 9, 2022, amends the statutory provisions regulating decentralized autonomous organizations.
House Bill 43, effective July 1, 2021, amends the law relating to how perfection of a digital asset or digital security can be achieved, including through possession or filing a financing statement.
Senate Bill 38, effective July 1, 2021, provides for the formation and management of decentralized autonomous organizations (DAO). A DAO is an LLC whose articles of organization contain a statement that the company is a DAO. A DAO is formed under the Wyoming LLC Act and the LLC Act applies to a DAO except where inconsistent with the DAO chapter. A DAO may form and operate for any lawful purpose, regardless of whether for profit.
House Bill 148, effective July 1, 2021, increases various fees charged by the Secretary of State.
House Bill 6, effective July 1, 2021, establishes procedures for the mergers of supervised trust companies.
Senate Bill 42, effective July 1, 2021, authorizes out-of-state state banks to convert from their state charter to a Wyoming charter.
House Bill 27, effective July 1, 2021, amends Wyoming law regarding, among other things, powers of the Secretary of State and the electronic delivery of documents by the Secretary of State, the reinstatement of foreign nonprofit corporations following revocation, and the fee for converting entities.
House Bill 185, effective July 1, 2019, amends the business corporation act to provide that the articles of incorporation or bylaws of a corporation may specify that all or a portion of the shares of the corporation may be represented by share certificates in the form of certificate tokens.
House Bill 236, effective July 1, 2019, enacts the Statutory Foundation Act, creating statutory foundations as a new form of entity.

December 1, 2021 — The Wyoming Chancery Court, which was created by Senate File 104, Laws of 2019, goes live. The court has jurisdiction to decide actions seeking declaratory or injunctive relief and actions seeking money recovery over $50,000 that arise from claims including breach of contract, breach of fiduciary duty, fraud, derivative actions, the Uniform Commercial Code, and the Uniform Trust Code.
