On-demand webinar: Attorney roundtable—Due diligence trends

Forum will dive deep into new case law, secured party filings, Article 12, and more.

Join this national panel of expert attorneys for a discussion on recent trends and case law that are impacting due diligence in 2023. Attendees will gain insights into recent updates to inform their due diligence work.

The panel will discuss:

  • Case law: 1944 Beach Boulevard, LLC v. Live Oak Banking Company, which considered whether a minor error in the listed name of a debtor will render a UCC financing statement legally insufficient. The panel will explore what this means for due diligence and discuss how firms currently handle such matters as debtor naming and collateral descriptions.
  • UCC secured party representative filings: Under revised Article 9 in the UCC code, a representative of the secured party can appear on the UCC financing statement in lieu of the secured party. Our experts will discuss how this impacts firms conducting due diligence best practices.
  • New Article 12: Panelists discuss electronic ledgers and highlight what you need to know from this new article, which promises to provide clarity to Article 9 amendments–making it easier to understand how to perfect a security interest in digital assets such as cryptocurrency, NFTs, and more.

Who should join:

  • Paralegals, attorneys, and in-house counsel who handle due diligence
