Decide on a name for your LLC

Naming your business is an important step that needs to be considered carefully. There are many business and compliance requirements to weigh when making the final decision on your LLC’s name.

Generally, your name cannot be the same as any other entity on file with the Delaware Secretary of State, and it can’t be misleading. Read our article for more tips on naming your business.

Determine management structure (member vs. manager)

One of the reasons you may have selected an LLC as your business type is the management structure. LLCs can have one of two management structures: member-managed, or manager-managed. The difference between the two comes down to the relationship between management and ownership:

If an LLC is member-managed, then all members are active in the decision-making processes. 

If an LLC is manager-managed, then one or more managers are designated to make the decisions on its behalf.  A manager may be a member or a non-member.

Select your registered agent

registered agent (also often referred to as agent for service of process) is a person or business you appoint to receive and forward to you important legal and tax information. Delaware requires an LLC to appoint and continually maintain a registered agent located in the state. The registered agent will be listed in your Certificate of Formation. Prepare and file with Delaware

However, it is also often used for other important business activities, such as opening a business bank account, obtaining a loan, or paying invoices. Your LLC may be required to obtain licenses and permits before it can legally operate in Delaware. There are many factors that go into determining which licenses and permits at the federal, state, and local levels are required for your business. Step 4: Create an operating agreement

An LLC operating agreement is a private agreement, which is not filed with the state. While Delaware does not require you to submit an operating agreement to form your LLC, it is important for every LLC to have an operating agreement, establishing the rules and structure of the business.

For example, one of the items that this document should address is whether the LLC will be managed by its members (owners) or managers.

  • Member-managed. All members (owners) are active in the decision-making processes of the LLC.
  • Manager-managed. One or more managers are designated to make the decisions on behalf of the LLC. A manager can be a member (owner) or non-member.

Your LLC may have a number of additional post-formation requirements in order to legally operate in Delaware. Here are sample requirements:

  • General business license. Your LLC will need to obtain a general business license from the Division of Revenue.
  • Licensing for regulated industries. Certain industries require additional state licensing, certification, or registration.
  • Local licensing. Your LLC may need to comply with local licensing, certification, or registration requirements.
  • Employees. If you have employees, you will need to register with the Delaware Division of Unemployment Insurance and the Division of Workers’ Compensation.
  • Fictitious name registration. Doing Business As” (or “DBA”) names will need to be registered in each county in which you are doing business in the State of Delaware.

Why form an LLC in Delaware?

Delaware has a reputation for being corporate-friendly and business-oriented. It provides a number of benefits for larger businesses, including an efficient, flexible, and highly regarded corporate court system. Delaware also does not have sales tax, personal property tax, investment income tax, or inheritance tax. Franchise tax, however, does apply in the state.

The following are Delaware’s requirements for the members/managers of LLCs:

  • Minimum number. LLCs must have one or more members. (A member is the term used to describe the owner of an LLC.) An LLC may also have one or more managers, who are authorized to manage daily operations. An LLC can be “member-managed” (managed by the owners), or it can be “manager-managed” (managed by those appointed to make business decisions for the LLC).
  • Residence requirements. Delaware does not have a provision specifying where members/managers must reside.
  • Age requirements. Delaware does not have age requirements.
  • Inclusion in the Certificate of Formation. Member/manager names and addresses are not required to be listed in the Certificate of Formation.

Requirements for the Delaware Certificate of Formation

The document required to form an LLC in Delaware is called the Certificate of Formation. The information required in the formation document varies by state. Delaware's requirements include:

  • Registered agent. Every Delaware LLC must have and maintain a registered office and a registered agent having a business office identical to the registered office. The Certificate of Formation requires the name of the initial registered agent and the address of the initial registered office. The registered agent must have a physical address (no post office boxes) in Delaware. The registered agent's business office must be generally open at sufficiently frequent times to accept service of process and otherwise perform the functions of a registered agent.

Can you form a PLLC in Delaware?

Delaware does not have specific provisions authorizing an entity called the professional limited liability company (PLLC). But professionals can choose to operate their business as a regular LLC.

Delaware does not have an initial report or publication requirement for LLCs.

Does Delaware require an LLC to have an operating agreement?

Delaware LLCs are not required to file an operating agreement with the state. However, this document is useful in that it can override some of the state’s default provisions for an LLC, such as how the LLC will be managed or financial rights of LLC members (owners) will be allocated.

Delaware LLC taxes and fees

  • Annual report and franchise tax. Delaware requires LLCs to pay an annual tax of $300 due on or before June 1. There is no annual report requirement for LLCs in Delaware.
  • State business license. The annual fee for a Delaware general business license varies, but the rate is generally $75 for the first location. Delaware businesses also have the option of buying a three-year business license.

  • State tax identification number. Delaware does not require a state tax identification number.
