Wolters Kluwer nv and Loislaw.com, Inc., Van Buren, Ark., USA, an online provider of comprehensive legal information, announced today that they have entered into a definitive agreement for the sale of Loislaw.com (Nasdaq: LOIS) to Wolters Kluwer nv for approximately net usd 95 million, or usd 4.3545 per share. Wolters Kluwer nv said it will commence with a tender offer for all outstanding shares of Loislaw.com, and that holders of approximately 67% of the shares, including Founder and ceo Kyle D. Parker, have agreed to tender their shares.

CCH Tax Compliance, Torrance, Calif., part of Wolters Kluwer US, has signed an agreement with Arthur Andersen LLP, Sarasota, Fla., to license CCH's ProSystem fx Tax compliance software for 70 offices in the USA and 27 international offices. The agreement is part of an arrangement by which CCH acquires from the firm the assets of APIus Tax software, used by 3,000 mid-sized accounting practices and Arthur Andersen. CCH plans to transition current APIus Tax customers to ProSystem fx Tax. Details of this arrangement are available at www.cch.com. This agreement does not include the AACTS product, which is used by Arthur Andersen and is also sold to large US corporate customers.
